Dear Shareholders,
This is the Corporate Management Division of CK Solution.
We are pleased to present our Investor Relations (IR) Briefing for the first quarter of 2026.
# Major Corporate Disclosures
1. Execution of Material Sales and Supply Contracts
During the first quarter, we registered one major official disclosure regarding new project orders. In addition to the disclosed contract for LG Energy Solution's battery manufacturing plant in Lansing, Michigan, we have successfully secured multiple projects from premier global clients, including Amkor Technology Korea (a semiconductor packaging & testing specialist) and a leading global display panel manufacturer.
Moving into the second quarter, we are actively pursuing large-scale contracts across a diverse range of industries. For orders of material significance, we plan to proactively consider voluntary public disclosures. We remain fully committed to steadily diversifying and expanding our business portfolio.
2. Decision on Bonus Issue (Stock Dividend)
To expand our capital base and support shareholder value, the company executed a bonus issue (free allotment of new shares) at a ratio of two (2) new shares for every one (1) share held. We will continue to drive business expansion and improve profitability to consistently enhance shareholder value moving forward.
3. Decision on Treasury Stock Retirement
As part of our commitment to boosting shareholder value, the company retired 107,725 shares of treasury stock, representing approximately 60% of the 184,832 shares acquired in 2025. This accounts for roughly 1.0% of the total number of issued and outstanding shares, completed with no reduction in corporate capital. We will continue to review and implement robust shareholder return policies in the future.
4. Decision on Treasury Stock Disposal
Out of the 184,832 shares of treasury stock acquired in 2025, approximately 40% (77,107 shares) was disposed of to facilitate stock-based compensation for our executives and employees. This represents about 0.7% of the total issued shares. To minimize potential market volatility, a mandatory lock-up period has been placed on these compensated shares. All equity disclosures related to employee stock compensation and the bonus issue were successfully finalized in March.
# Major Corporate News & Press Releases
1. Convening of the 22nd Annual General Meeting of Shareholders (AGM)
At this Annual General Meeting, key resolutions were successfully approved and processed, including the Approval of the Financial Statements for the 22nd Fiscal Year, Amendments to the Articles of Incorporation reflecting the recent revision of the Commercial Act, and the Approval of the Remuneration Limit for Directors.
We extend our deepest gratitude to all shareholders who attended. We pledge to make 2026 the breakout year for our corporate leap forward.
[Opening Remarks by the Chairman at the 22nd AGM]Respected Shareholders, Thank you very much for taking the time out of your busy schedules to attend our General Meeting of Shareholders today. First and foremost, CK Solution recorded financial results last year—our first year as a publicly listed company—that fell short of your expectations. As CEO, I deeply recognize this responsibility and would like to take this opportunity to extend my sincerest apologies to all of our valued shareholders. The net loss incurred last year was largely a result of establishing a solid foundation for mid-to-long-term growth post-IPO, rather than focusing purely on short-term metrics. In a highly intense competitive environment, preparatory costs for new businesses and market entry exceeded initial forecasts, temporarily impacting our profitability. In response, with a spirit of fierce determination, we proclaimed a 'Second Founding' of the company on November 21 of last year. We have comprehensively reorganized our organizational structure to innovate our cost infrastructure and overall business portfolio, fully preparing ourselves for the year ahead. This year, our core management mandates are centered on profitability-driven business operations, structural optimization of fixed costs, and business streamlining through strategic focus and selection. Rather than chasing short-term top-line growth, we will concentrate all of our management capabilities on generating practical profits and optimizing cash flow. I believe that CK Solution's listing on the stock market was not a final destination, but rather the starting line of a long journey alongside our shareholders. We promise to demonstrate a more accountable posture, not only in our financial performance but also in our corporate disclosures and communication. We deeply recognize that restoring the trust of our shareholders is our most critical objective, and we will do our absolute best to honor that trust with concrete financial results. Thank you. |
